Notice of a meeting must be served to each and every member. Regulation 38 states that notices should be served to:
Auditors
Directors of the company
All members
Everybody who will be affected in case of death or bankruptcy of a member
However, in case of Joint Holders, notice to the 1st named member is sufficient. No notice is required to be served upon a member who stays outside UK and who has not given his address outside UK in order to get the notices.
According to Common Law, failure to serve notice to everyone would result in the nullification of the meeting. However this is not the case if the name of a member is left out by mistake or if a member refuses to accept a notice.
